1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of HireChat ("HireChat," "we," "us," or "our"), a software-as-a-service platform for AI-powered interview intelligence.

By creating an account, accessing, or using HireChat, you agree to these Terms. If you use HireChat on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.

If you do not agree to these Terms, do not use HireChat.

2. The Service

HireChat provides tools that may include CV analysis, live interview support, automated transcription, competency scoring, candidate comparison, collaboration features, and API access depending on your plan.

HireChat uses third-party providers, including OpenRouter for large language model services, AssemblyAI for transcription, Hetzner for EU hosting infrastructure, and Google for OAuth authentication. We may change providers from time to time as needed to operate or improve the service.

HireChat is hosted on infrastructure located in the European Union, including Hetzner VPS infrastructure in Nuremberg, Germany.

3. Account Registration and Security

You may create an account using Google OAuth or email and password authentication supported through our authentication provider.

You must provide accurate and complete information and keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must promptly notify us if you believe your account has been accessed without authorization.

You may not share account credentials except as expressly allowed under a Team plan feature intended for authorized multi-user access. Informal credential sharing is prohibited.

We may suspend or restrict access if we reasonably believe your account is compromised or used in violation of these Terms.

4. AI-Specific Terms and Important Disclosures

HireChat includes AI-assisted features. These features generate outputs based on patterns in data and machine learning models. AI outputs are probabilistic and may be inaccurate, incomplete, outdated, misleading, or biased.

HireChat is designed to support human review and human decision-making. It does not make hiring decisions, employment decisions, legal decisions, or compliance decisions for you.

You are solely responsible for:

  • reviewing and validating AI-generated outputs before relying on them;
  • ensuring appropriate human oversight over any use of HireChat in recruitment or employment processes;
  • complying with applicable employment, anti-discrimination, privacy, and AI laws;
  • all decisions, actions, and outcomes that result from your use of the service.

HireChat does not guarantee any specific result, including candidate quality, hiring outcomes, interview performance, compliance outcomes, or business results.

If you use HireChat in hiring or HR workflows, you acknowledge that such use may be subject to laws and regulations that require transparency, recordkeeping, human oversight, or other safeguards, including laws relating to high-risk AI systems. You are responsible for determining and meeting your legal obligations in your jurisdiction.

5. Acceptable Use

You may use HireChat only in compliance with these Terms and applicable law.

You may not:

  • use HireChat for unlawful, fraudulent, deceptive, or harmful activity;
  • use HireChat to discriminate unlawfully against candidates or other individuals;
  • upload, process, or share data unless you have all necessary rights, permissions, notices, and legal bases to do so;
  • use HireChat to make fully automated decisions where human review is required by law;
  • reverse engineer, decompile, scrape, copy, benchmark, or otherwise attempt to extract source code, models, prompts, underlying components, or non-public features of the service except where prohibited by law from restricting such rights;
  • interfere with or disrupt the service, security features, or connected networks;
  • access the service through unauthorized automated means, except through approved features or API access made available under your plan;
  • share credentials, resell access, or allow unauthorized third parties to use your account;
  • upload malicious code, malware, or content that infringes the rights of others.

We may investigate violations and remove content, suspend access, or terminate accounts as described in these Terms.

6. Your Data and Ownership

You retain ownership of all data you upload to HireChat and all data you generate through your use of the service, including CVs, resumes, job descriptions, interview recordings, transcripts, notes, evaluations, candidate comparisons, and similar materials ("User Data").

HireChat does not claim ownership of your User Data.

You grant us a limited, non-exclusive, worldwide, revocable license to host, copy, process, transmit, display, and use User Data only as necessary to provide, maintain, secure, and improve HireChat, to provide support, and to comply with legal obligations.

You represent and warrant that you have all rights and permissions needed to upload and use User Data with HireChat and to grant the license above.

You are responsible for the legality, accuracy, quality, and integrity of User Data and for providing any required notices or obtaining any required consents from candidates, interview participants, employees, or other individuals.

7. Our Intellectual Property

HireChat and its software, interfaces, workflows, branding, documentation, and all related intellectual property rights are owned by us or our licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use HireChat during your subscription term for your internal business or personal use, depending on your plan.

Except for the limited rights expressly granted in these Terms, no rights are granted to you.

8. Plans, Billing, and Payment

8.1 Free Plan

The Free plan includes up to 3 candidates, basic features, and community support.

If you reach the Free plan limits, you may be prevented from adding more candidates or accessing certain features unless you upgrade to a paid plan. We may change Free plan limits or features at any time.

8.2 Paid Plans

The Professional plan is priced at $29 per month and includes unlimited candidates, advanced analysis, and priority support.

The Team plan is priced at $79 per month and includes multi-user access, team collaboration, admin controls, and API access.

Paid subscriptions renew automatically each billing cycle unless canceled before the next renewal date.

8.3 Payment Terms

You authorize us and our payment processors to charge the applicable subscription fees, taxes, and any other disclosed charges to your selected payment method.

All fees are due in advance, non-cancelable for the current billing period, and non-refundable except as required by law or as expressly stated in these Terms.

You must keep your payment information current. If a payment fails, we may suspend or downgrade your account until payment is received.

Prices may change from time to time. If we change pricing for your subscription, we will provide notice before the change takes effect.

8.4 Taxes

Fees do not include taxes unless stated otherwise. You are responsible for any sales, use, VAT, GST, withholding, or similar taxes associated with your purchase or use of HireChat, except taxes based on our net income.

9. Refund Policy

Unless required by applicable law, subscription fees are not refundable.

If you cancel a paid subscription, your cancellation will take effect at the end of the current billing period, and you will continue to have access to paid features until that time unless your account is terminated earlier under these Terms.

We may, at our discretion, provide credits or refunds in individual cases, but doing so does not obligate us to provide the same in the future.

10. Service Availability and Support

We aim to keep HireChat available and reliable, but we do not guarantee uninterrupted or error-free service.

For paid plans, we target 99.5% monthly uptime, excluding scheduled maintenance, emergency maintenance, force majeure events, internet or network failures outside our control, and failures caused by third-party services or your systems.

The uptime target above is a service objective, not a guarantee of uninterrupted availability, unless we separately agree to a written service level agreement with you.

No service level agreement applies to the Free plan. Free plan access may be limited, throttled, suspended, modified, or discontinued at any time without notice.

Support levels vary by plan. Community support may be available for Free users, priority support for Professional users, and plan-specific support features for Team users.

11. Third-Party Services

HireChat relies on third-party services, including OpenRouter, AssemblyAI, Hetzner, and Google. Your use of features connected to those services may also be subject to the terms and policies of those third parties.

We are not responsible for outages, errors, delays, or changes caused by third-party providers, although we will use commercially reasonable efforts to manage such dependencies.

12. Privacy and Data Protection

Your use of HireChat is also subject to our Privacy Policy.

To the extent required by applicable data protection laws, we will handle personal data in accordance with those laws and any applicable data processing agreement between you and us.

Nothing in these Terms limits rights or obligations that cannot be limited under applicable privacy or data protection law, including under the GDPR or CCPA where applicable.

13. Disclaimers of Warranties

To the maximum extent permitted by law, HireChat is provided "as is" and "as available."

We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the service will be uninterrupted, secure, accurate, complete, or error-free, or that defects will be corrected.

We do not warrant that AI-generated outputs are accurate, unbiased, suitable for employment decisions, or compliant with any legal requirement in your specific use case.

14. Limitation of Liability

To the maximum extent permitted by law, neither HireChat nor its affiliates, officers, directors, employees, licensors, or service providers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, business opportunities, or business interruption, arising out of or related to these Terms or your use of HireChat.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or HireChat will not exceed the greater of:

  • the amount you paid to us for HireChat during the 12 months before the event giving rise to the claim; or
  • US$100.

The limitations in this section do not apply to liability that cannot be excluded or limited under applicable law, including certain statutory rights, fraud, willful misconduct, death or personal injury caused by negligence where applicable, or obligations under applicable data protection law that cannot legally be waived or limited.

15. Indemnification

15.1 Your Indemnity

You will defend, indemnify, and hold harmless HireChat and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • Your User Data;
  • your use of HireChat in violation of these Terms or applicable law;
  • your misuse of AI outputs or hiring decisions made by you or on your behalf;
  • your failure to obtain required consents, notices, or permissions.

15.2 Our Indemnity

We will defend you against third-party claims alleging that HireChat, as provided by us and used by you in accordance with these Terms, directly infringes that third party's intellectual property rights, and we will indemnify you against damages finally awarded or amounts agreed in settlement by us, provided that you promptly notify us of the claim, give us sole control of the defense and settlement, and reasonably cooperate with us.

We will have no obligation under this section for claims arising from:

  • User Data;
  • modifications not made by us;
  • combination of HireChat with products, services, or processes not provided by us;
  • use of HireChat after notice of the alleged infringement and an offered replacement or modification;
  • use of HireChat in violation of these Terms.

16. Suspension, Cancellation, and Termination

You may stop using HireChat at any time. You may cancel your subscription through your account settings or by contacting support.

We may suspend or terminate your access immediately if:

  • you materially breach these Terms;
  • your use creates security, legal, or operational risk;
  • we are required to do so by law or by a service provider relationship;
  • fees remain unpaid after notice and a reasonable opportunity to cure.

Upon termination, your right to use HireChat ends. We may delete or anonymize your User Data after termination in accordance with our retention practices, legal obligations, and Privacy Policy.

If possible and legally permitted, we may provide a limited opportunity for you to export your User Data before deletion.

Sections that by their nature should survive termination will survive, including sections relating to ownership, payment obligations, disclaimers, liability, indemnification, dispute resolution, and governing law.

17. Changes to the Service or These Terms

We may modify HireChat, including features, functionality, or plan limits, from time to time.

We may also update these Terms. If we make material changes, we will provide notice by posting the updated Terms on our website, through the service, or by other reasonable means. Changes will become effective on the stated effective date unless otherwise required by law.

Your continued use of HireChat after the updated Terms take effect means you accept the updated Terms.

18. Dispute Resolution

Before filing a legal claim, you agree to contact us and try in good faith to resolve the dispute informally.

If a dispute cannot be resolved informally within 30 days, either party may bring the claim in the courts identified in the governing law section below, unless applicable law requires another forum.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief for misuse of intellectual property, breach of confidentiality, unauthorized access, or other urgent matters.

19. Governing Law and Venue

These Terms are governed by the laws of Germany, without regard to conflict of laws principles.

The courts of Germany will have exclusive jurisdiction over disputes arising out of or relating to these Terms or HireChat, unless mandatory law requires otherwise.

If you are a consumer, mandatory consumer protection laws in your country of residence may give you additional rights that these Terms do not limit.

20. General Terms

These Terms, together with any applicable order forms, data processing agreements, and referenced policies, form the entire agreement between you and us regarding HireChat.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision is not a waiver of our right to do so later.

You may not assign or transfer these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets. We may assign these Terms as part of a corporate reorganization, merger, acquisition, or sale of assets.

Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and us.
